Because of his diverse legal experience and his reputation in the legal and business communities, legal services that Edward S. Hill is called upon to provide include real estate consulting, assisting in litigated matters, such as serving as an expert witness and providing technical and strategic advice, and participating in alternate dispute resolution proceedings.

Business Organizations and Operations

Mr. Hill regularly provides advice and counsel on business organization and operation matters.

Representative Business Organization and Operation Matters:

  • Formation of closely-held limited liability companies, corporations, and general and limited partnerships, both in connection with real estate investment and development ventures and for other lines of business.
  • Advice on governance and operations of closely-held entities.
  • Co-owner buy/sell agreements.
  • Acquisition and disposition of interests in closely-held entities.
  • Dissolution, termination, merger and consolidation of closely-held entities.

Consulting

Mr. Hill regularly consults with attorneys, real estate brokers, real estate owners, landlords and tenants and provides services to assist them with ownership, management and landlord tenant issues. 

Representative Consulting Matters:

  • Consulting counsel to other attorneys in the design and documentation of condominiums and other common interest communities.
  • Consulting counsel to other attorneys on condominium association operational, governance, and management issues.
  • Counseled owner associations and unit owners on enforcement of community documents and conduct of meetings.
  • Counseled land owners on a wide range of ownership issues, including management of farm, forest and open space real estate tax classification, overall management and disposition strategies.
  • Counseled co-owners on resolution of disputes with the other co-owners.
  • As a member of three-person Counselors of Real Estate Consulting Corps team, counseled the City of Rockford, Illinois (second largest city in Illinois), on redevelopment strategies for downtown former industrial parcel of 26 acres with 16 buildings, totaling approximately 800,000 square feet and on terms and conditions for master development agreement with private sector developers.
  • As a member of a five-person Counselors of Real Estate Consulting Corps team, counseled the City of Springfield, Ohio and Wittenberg University on development and land use regulatory options for an approximately 40 block area abutting the campus.
  • Consultation on resolution and cure of real estate title defects.
  • Provided state law enforceability opinions to out of state lenders with regard to real estate in Connecticut and Rhode Island.

Expert Witness

Mr. Hill has served as an expert witness and as a technical and strategic advisor in litigation matters involving real estate law and condominiums.

Representative Expert Witness Engagements:

  • Expert witness in legal malpractice cases involving claims related to the representation of sellers and buyers of real estate.
  • Expert witness in litigation involving claims relating to the interpretation and operation of condominium documents of an expandable condominium.
  • Expert witness in cases involving claims related to the preparation of condominium documents.

Alternate Dispute Resolution

Edward S. Hill participates in alternate dispute resolution matters as a mediator and as an arbitrator. 

Mr. Hill is well suited to be a mediator and arbitrator because of his years of experience in addressing and resolving issues in the context of real estate transactions and because of his general real estate and business background and experience. 

Mr. Hill holds the mediation training certification required under Massachusetts General Laws ch. 233, sec. 23C.  In one case, he successfully mediated a dispute between a developer and an adjacent property owner over the extent of the rights of the developer to a lake on the adjacent property.

In addition, Mr. Hill is a qualified arbitrator of the Financial Industry Regulatory Authority (FINRA) and has served on several arbitration panels involving security dealers and their customers.
